Here's a summary of LLC's:


  • LLC's - Protection of Personal Assets.


  • Articles of Organization / Incorporation - CRUCIAL to file if your LLC is to be legitimate. If not filed, you may expose yourself to being personally liable for business debts and obligations.


  • Operating Agreement / Corporate Bylaws - Defines how the business operates, ownership and management roles etc. Highly recommended, some consider it crucial.


  • Registered Agent - Required in the state of Texas and many other states. The purpose is to ensure the business receives all legal documents (lawsuit), state notices and tax correspondence from the Comptroller.


  • Generic LLC name - Protects your name and personal identification.


  • EIN (Employer Identification Number) - Number used to file taxes with IRS.
